2Acceptance of these terms

By accessing or using this website you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, please do not use the site.

We may revise these terms from time to time. The current version is always published on this page, and the “Last updated” date shows when it last changed. Continued use of the site after a change means you accept the revised terms.

3What these terms cover

These terms apply to the public website at veracisanalytics.com, including any product information pages and contact or registration forms hosted there (together, the “Site”).

They do not govern the use of any Veracis software product, including the client application at app.veracisanalytics.com. Access to our products is provided only under a separate written agreement between Veracis and the client organisation, and nothing on the Site creates or varies such an agreement.

4Information only, not advice

The content of the Site is provided for general information about Veracis and its products. It is not, and should not be relied on as, investment, financial, legal, tax, accounting, regulatory or compliance advice, and it does not take account of any particular organisation's circumstances.

Veracis is a software and analytics company. Our products are analytical and oversight tools that support decisions made by our clients' own qualified staff. Veracis is not an authorised or regulated financial services firm, does not provide fund administration, depositary, trustee, transfer agency or investment services, and does not calculate, produce or replace any fund's official net asset value, books or records. Nothing on the Site is a representation that using our products will satisfy any legal or regulatory obligation.

Nothing on the Site constitutes an offer, solicitation or recommendation to buy, sell or hold any security, fund or other financial instrument, or to enter into any transaction.

5Product descriptions & illustrative figures

Product descriptions, feature lists, screenshots and status labels (such as “live”, “in preview”, “in development” or “planned”) describe our products as they exist or are intended at the time of publication. They are provided for information, may change without notice, and are not a commitment to deliver any feature or product, or to do so by any date. Availability of any product to any organisation is subject to a separate agreement.

All numbers, fund names, portfolios, commentary and other example data shown on the Site are illustrative. They are fictional or demonstration values created to show how a product works. They are not real client data, do not describe any actual fund, index or organisation, and must not be relied on for any purpose.

Where the Site describes automated analysis or commentary produced by our software (including the assistant we call “Vera”), the examples shown are illustrative. Any such output within our products is generated by software, is intended to assist review by qualified people and is not a substitute for their judgement.

6Intellectual property

The Site and everything on it, including text, graphics, logos, screenshots, illustrations, page design, software code and the selection and arrangement of the content, is owned by or licensed to Veracis and protected by copyright, trade mark and other intellectual property laws of Ireland and other countries.

“Veracis”, “Veracis Analytics”, “Vera”, the Veracis logo and our product names are trade marks or trade names of Veracis Analytics Limited. Nothing on the Site grants any licence or right to use them without our prior written consent.

You may view, download and print pages from the Site for your own personal or internal business reference, provided you keep all copyright and proprietary notices intact. You may not otherwise reproduce, modify, distribute, republish, sell, create derivative works from or commercially exploit any part of the Site without our prior written permission.

7Acceptable use

You agree to use the Site lawfully and fairly. In particular, you must not:

• use the Site in any way that breaches applicable law or regulation, or infringes the rights of any person;
• attempt to gain unauthorised access to the Site, the server on which it is hosted, or any connected system, network or database, or bypass any access restriction;
• introduce viruses, malware or other harmful code, or carry out any denial-of-service or similar attack;
• use automated tools to scrape, crawl, harvest or systematically extract content or data from the Site, other than standard search-engine indexing that respects our published crawling directives;
• submit false, misleading or third-party information through our forms, or use them to send spam or unsolicited communications;
• use the Site, its content or our trade marks to misrepresent your relationship with Veracis, or to imply endorsement by us;
• frame, mirror or embed the Site or any part of it in another site or service without our written permission.

We may suspend or block access to the Site for anyone we reasonably believe has breached these terms, and we may report unlawful activity to the relevant authorities.

8Forms & submissions

The Site lets you register your interest and request a product demonstration. When you submit a form you confirm that the information you provide is accurate, that you are entitled to provide it, and that you are acting for a business or professional purpose.

Submitting a form is a request for information only. It does not create a contract, a subscription, an obligation on Veracis to provide any product or service, or any priority of access. We will use your details as described in our Privacy Policy and may decline or not respond to any request at our discretion.

Any ideas, suggestions or feedback you send us about our products or Site may be used by us freely and without compensation, provided we do not disclose your personal data other than as set out in our Privacy Policy.

9Third-party links & services

The Site may contain links to third-party websites and services, and may use third-party services such as hosting, content delivery, fonts and analytics. Links are provided for convenience only. We do not control third-party sites, do not endorse their content and are not responsible for their availability, accuracy or practices. Your use of any third-party site or service is at your own risk and subject to its own terms.

10Availability & changes

We aim to keep the Site available and accurate but do not guarantee that it will be uninterrupted, error-free or free of viruses. We may change, suspend or withdraw all or any part of the Site at any time without notice, and we may update or remove content at any time. We are not obliged to keep any content on the Site current.

11Disclaimer of warranties

The Site and its content are provided “as is” and “as available”. To the fullest extent permitted by law, Veracis excludes all conditions, warranties, representations and other terms, whether express or implied, including any implied terms of satisfactory quality, fitness for a particular purpose, accuracy, completeness or non-infringement. While we take reasonable care in preparing the Site, we do not warrant that any information on it is accurate, complete or up to date.

12Limitation of liability

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under Irish law.

Subject to that, to the fullest extent permitted by law, Veracis and its directors, employees and agents will not be liable to you or any third party for any loss or damage of any kind, whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising out of or in connection with your use of, or inability to use, the Site or any content on it, or your reliance on any information it contains. This includes, without limitation, any loss of profit, revenue, business, opportunity, goodwill or data, and any indirect or consequential loss, even if foreseeable.

The Site is directed at business and professional users. If you are using it as a consumer, your statutory rights are not affected by these terms.

13Privacy & cookies

Our Privacy Policy explains how we handle personal data collected through the Site, including through our forms, and how we use cookies and analytics. Analytics cookies are only set with your consent, which you can change at any time through Cookie settings.

14Governing law & jurisdiction

These terms, and any dispute or claim arising out of or in connection with them or the Site (including non-contractual disputes or claims), are governed by the laws of Ireland. The courts of Ireland have exclusive jurisdiction over any such dispute or claim, except that if you are a consumer resident elsewhere in the European Union, you may also be entitled to bring proceedings in your country of residence.

15General

• Entire terms. These terms and our Privacy Policy are the whole agreement between you and us regarding the Site. They do not affect any separate written agreement between Veracis and a client organisation regarding our products.
• Severability. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force.
• No waiver. If we do not enforce a right or provision, that is not a waiver of it.
• Assignment. We may transfer our rights and obligations under these terms to another organisation. You may not transfer yours without our written consent.
• Third parties. No one other than you and Veracis has any right to enforce these terms.
• Language. These terms are written in English. Any translation is for convenience only and the English version prevails.
